Oracle Credit Rating Cut
Oracle’s credit rating has been cut to BBB- by S&P Global Ratings, placing the company one notch above junk status at the precise moment its largest AI infrastructure commitments are accelerating. The downgrade reflects a widening gap between capital expenditures and operating cash flow, driven by multibillion-dollar data-center construction tied to a single major customer. At the same time, Oracle is litigating against Wisconsin utility regulators over collateral requirements that could reach $7 billion for its share of a $15 billion campus in Port Washington.
These pressures arrive as the company reports $67 billion in new AI infrastructure contracts signed in a single quarter, yet projects a free-cash-flow deficit of roughly $42 billion in fiscal 2027. The combination of regulatory friction, concentrated customer risk, and balance-sheet strain is testing investor tolerance for the scale of spending required to compete in AI cloud infrastructure.
Capital Intensity Meets Credit Scrutiny
S&P analysts explicitly stated they had underestimated the investment scale needed to expand Oracle’s AI business. The agency lowered the rating after Oracle posted $55.7 billion in capital expenditures for fiscal 2026 against $32 billion in operating cash flow, producing negative free cash flow of $23.7 billion. Projections for fiscal 2027 show capex climbing to $90–95 billion, widening the cash shortfall further.
Oracle already carries nearly $130 billion in debt and has issued $5 billion in mandatory convertible preferred stock, with another $20 billion equity raise planned later this year. The company maintains that maintaining an investment-grade rating remains a priority, yet the downgrade signals that rating agencies now view the pace of AI-related outlays as structurally higher than previously modeled. This reassessment directly affects Oracle’s cost of capital at a time when hyperscale peers are also accelerating spending but start from stronger balance sheets.
Wisconsin Rate Dispute and Collateral Exposure
Oracle is challenging a Public Service Commission of Wisconsin rule that sets an A- or A3 credit-rating threshold for “very large customer” data-center rates offered by We Energies. Without that rating, developers must post cash or a letter of credit to shield other ratepayers from stranded-asset risk. Oracle estimates the requirement could exceed $100 million annually and has described the burden as “substantial and unreasonable.”
In a July 9 court filing, commission attorneys argued that Oracle is attempting to avoid regulatory oversight and reinstate terms the utility itself could waive. The dispute centers on the $15 billion Lighthouse campus being developed jointly with OpenAI and Vantage. Should the court uphold the rule, Oracle faces the prospect of posting collateral potentially as high as $7 billion, a sum that would further pressure liquidity already stretched by AI construction schedules.
Concentration Risk Around OpenAI Commitments
Roughly half of Oracle’s $638 billion in remaining performance obligations stems from OpenAI alone. This concentration introduces a binary exposure: any interruption in OpenAI’s ability to fund its contracted capacity could leave Oracle with data centers built for demand that does not materialize. S&P highlighted this single-customer dependency as a distinct credit concern beyond the headline capex figures.
OpenAI’s own capital needs remain substantial and ongoing, creating a chain of financing risk that flows directly to Oracle’s revenue recognition and asset utilization. While the contracts provide visibility, they also embed a level of customer-specific leverage not typical among diversified hyperscale operators. Investors are pricing this risk into the stock, which has traded as low as $121.50 in recent sessions.
Equity Market Reaction and Drawdown Patterns
Oracle shares fell 6.5 percent on July 13, 2026, touching a fresh 52-week low. The stock now sits approximately 63 percent below its peak of $345.72, compressing the market capitalization to around $365 billion. Historical drawdowns during market shocks show an average decline of 18 percent, with outliers reaching 40 percent in 2008–09 and 32 percent in 2025. Median recovery time to prior highs has been four months, though one episode required 27 months.
The current sell-off coincides with both the credit downgrade and the Wisconsin litigation, amplifying concerns that AI-driven growth may arrive later or at higher cost than initially anticipated. Management guidance of 34 percent revenue growth for the current fiscal year has not yet offset the market’s focus on near-term cash burn and leverage metrics.
Industry-Wide Capital Allocation Pressures
Oracle’s experience illustrates the capital-allocation trade-offs facing every participant in the AI infrastructure buildout. Smaller-scale operators lack the diversified cash flows of Microsoft, Amazon, or Google, making them more sensitive to both rating-agency scrutiny and regulatory conditions imposed by utilities. The Wisconsin precedent could influence how other states structure data-center tariffs, particularly where grid upgrades are required.
At the same time, the sheer volume of contracted AI capacity suggests that demand signals remain robust. The question is whether the financing and permitting environment can keep pace with the contractual commitments already signed. Oracle’s path through the next two fiscal years will test whether aggressive capex can be sustained without permanent impairment of credit quality or shareholder value.
